Meta said that it disagrees with the decision and that it\u2019s considering an appeal.<br \/>The regulator concluded that Meta\u2019s acquisition of Giphy would reduce competition between social media platforms. It added that the deal has already removed Giphy as a potential challenger in the display ad market.<br \/>A panel found that Facebook would be able to increase its already significant market power in relation to other social media platforms by denying or limiting other platforms\u2019 access to Giphy GIFs. This in turn would send more traffic to Facebook-owned sites \u2014 Facebook, WhatsApp and Instagram \u2014 which already account for 73% of user time spent on social media in the U.K., the panel concluded.<br \/>Meta could also change the terms of access to Giphy\u2019s GIFs, the CMA said. For example, it could require the likes of TikTok,\u00a0<a href=\"https:\/\/www.cnbc.com\/quotes\/TWTR\" target=\"_blank\" rel=\"noopener\">Twitter<\/a>\u00a0and Snapchat to provide more user data in order to access Giphy GIFs.<br \/><a href=\"https:\/\/www.cnbc.com\/2020\/05\/15\/facebook-buys-gif-company-giphy-and-plans-to-integrate-it-with-instagram.html\">Prior to the deal in May last year<\/a>, Giphy launched its own advertising services and it was considering expanding to countries outside the U.S., including the U.K. Giphy\u2019s ad services allowed firms like Dunkin\u2019 to promote their brands through visual images and GIFs.<br \/>The CMA found that Giphy\u2019s\u00a0ad services\u00a0would have been able to compete with Facebook\u2019s own display advertising services, while also encouraging innovation from other social media sites and advertisers.<br \/>Facebook shut down Giphy\u2019s advertising\u00a0services at the time of the merger. The CMA said this is a cause for concern, especially because Facebook\u00a0controls nearly half\u00a0of the \u00a37 billion ($9.4 billion) display ad market\u202fin the U.K.\u00a0<br \/>Stuart McIntosh, chair of the independent inquiry group carrying out the investigation, said in a statement Tuesday that the deal has already removed a potential challenger in the display ad market.<br \/>\u201cBy requiring Facebook to sell Giphy, we are protecting millions of social media users and promoting competition and innovation in digital advertising.\u201d It\u2019s unclear how long Meta will have to sell Giphy.<br \/>\u201cWe disagree with this decision,\u201d a Meta spokesperson said Tuesday. \u201cWe are reviewing the decision and considering all options, including appeal.\u201d<br \/>Peter Broadhurst, a partner at law firm Crowell &#038; Moring, hailed the CMA\u2019s decision as hugely important.<br \/>\u201cThis is the first time the CMA has ever blocked a major digital tech deal and indicates the direction of travel for U.K. regulator\u2019s oversight of similar deals going forward,\u201d he said in a statement.<br \/>He added: \u201cThe decision also suggests that the CMA will not back down in the face of questions and criticism over jurisdiction and overreach \u2014 this is exactly the kind of deal that the CMA feels it should be scrutinizing.\u201d<br \/>In August, the CMA<a href=\"https:\/\/www.gov.uk\/government\/news\/facebook-s-takeover-of-giphy-raises-competition-concerns?=0\" target=\"_blank\" rel=\"noopener\">\u00a0said<\/a>\u00a0it had provisionally found Meta\u2019s (still called Facebook at the time) purchase of Giphy would harm competition between social media platforms and remove a potential challenger in the display ad market.<br \/>At the time, the CMA said it may require the company to unwind the deal, which is\u00a0<a href=\"https:\/\/www.axios.com\/scoop-facebook-to-buy-giphy-for-400-million-4a75a359-833b-484d-b15b-87e94d3de017.html\" target=\"_blank\" rel=\"noopener\">reportedly worth $400 million<\/a>, and sell off Giphy if its competition concerns are ultimately confirmed.<br \/>When the deal was announced, Facebook said it wanted to further integrate Giphy into the Instagram app \u201cso that people can find just the right way to express themselves.\u201d<br \/>The CMA\u00a0<a href=\"https:\/\/www.cnbc.com\/2021\/10\/20\/facebook-fined-by-cma-for-deliberate-breach-during-giphy-probe.html\">fined Facebook<\/a>\u00a0\u00a350.5 million in October for failing to provide regular updates to show that it is complying with an order.
